Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Innapp platform, websites, and related services (the “Service”) provided by Zerf (“Zerf”, “we”, “us”, or “our”). By creating an account or using the Service, you agree to these Terms.

1. The Service

Innapp enables hotels and resorts to enter or import property data and publish a live endpoint that makes that data discoverable by AI assistants. Features and functionality may change over time.

2. Eligibility and accounts

You must be at least 16 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your credentials, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

3. Acceptable use

You agree not to:

• Use the Service for any unlawful, fraudulent, or harmful purpose.
• Upload content that infringes third-party rights or that you do not have the right to submit.
• Attempt to gain unauthorized access to the Service, other accounts, or our systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse engineer or resell the Service except as permitted by law.

4. Your content

You retain ownership of the property data and other content you submit (“Customer Content”). You grant Zerf a worldwide, non-exclusive license to host, process, display, and distribute Customer Content as necessary to operate and provide the Service — including making it available to AI assistants and third-party platforms as you direct. You are responsible for ensuring you have the rights to submit Customer Content and that it is accurate and lawful.

5. Third-party services

The Service integrates with third-party providers (such as Supabase, Vercel, Google, Firecrawl, OpenAI, Anthropic, and Mapbox). Your use of those services may be subject to their own terms, and we are not responsible for third-party services or content.

6. Fees

Certain features may be offered free of charge or on a trial basis. Where paid plans apply, the applicable fees, billing terms, and renewal conditions will be presented to you before purchase. Fees are non-refundable except as required by law.

7. Intellectual property

The Service, including its software, design, and trademarks, is owned by Zerf and protected by intellectual property laws. Except for the rights expressly granted to you, no rights are transferred under these Terms.

8. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI-extracted data will be accurate or complete.

9. Limitation of liability

To the maximum extent permitted by law, Zerf will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim will not exceed the amount you paid us for the Service in the twelve months preceding the claim, or USD 100 if no amount was paid.

10. Indemnification

You agree to indemnify and hold Zerf harmless from any claims, damages, liabilities, and expenses arising out of your Customer Content, your use of the Service, or your violation of these Terms.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Upon termination, your right to use the Service ceases, and we may delete your data in accordance with our Privacy Policy.

12. Governing law

These Terms are governed by the laws of the jurisdiction in which Zerf is established, without regard to conflict-of-law principles. The courts of that jurisdiction will have exclusive jurisdiction over any disputes, subject to any mandatory consumer protections in your country of residence.

13. Changes to these Terms

We may update these Terms from time to time. We will post the revised version with an updated “Last updated” date and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
